1. Acceptance of terms

By accessing the H2CPA network, platform, dashboards, APIs, and related services (collectively, the “Network”) or by registering as an Advertiser or Affiliate, you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between H2CPA Network Limited (“H2CPA”, “we”, “us”, or “our”) and you (“you” or “User”).

If you act on behalf of a company or other legal entity, you represent that you have authority to bind that entity. Specific pricing, caps, geographies, payout schedules, and offer rules may be set out in insertion orders, schedules, or other written agreements (“Commercial Terms”). Where Commercial Terms conflict with these Terms on a specific point, the Commercial Terms prevail for that point only.

2. Definitions

  • Advertiser: a party that promotes goods, services, or applications through the Network.
  • Affiliate / Publisher: a party that distributes promotional materials or traffic to Offers in exchange for compensation.
  • Offer: a measurable action or conversion event (for example CPI, CPL, or CPS) made available through the Network.
  • Traffic: impressions, clicks, installs, leads, sales, or other user interactions attributed to an Affiliate.

3. Account registration and eligibility

3.1 Capacity

You represent that you are at least 18 years of age and have the legal authority to bind yourself or your organisation to these Terms.

3.2 Truthfulness and verification

All information provided during registration and onboarding must be accurate, complete, and kept up to date. H2CPA reserves the right to verify your identity and corporate standing using D-U-N-S® or other reputable business identifiers, reference checks, and documentation you provide. We may refuse registration, suspend, or terminate accounts where information is false, incomplete, or materially misleading.

4. Affiliate obligations and traffic quality

4.1 Prohibited traffic

Affiliates shall not generate Traffic through:

  • forced clicks, pop-under loops, or other non-consensual mechanics;
  • bots, emulators, click farms, or other synthetic or non-human activity;
  • incentivised methods (including rewards-for-install) unless expressly permitted in writing for the relevant Offer;
  • misleading creative assets, disguised ads, or misrepresentations of the destination or product; or
  • any practice that violates applicable law, platform policies, or the express restrictions of an Offer.

4.2 ShieldCheck™ compliance

All Traffic routed through the Network is subject to real-time and batched screening by our proprietary ShieldCheck™ integrity stack (including fraud signals, policy rules, and quality heuristics). ShieldCheck™ determinations inform whether Traffic is billable, payable, or subject to adjustment. H2CPA reserves the right to reject leads, claw back commissions, and withhold payments for Traffic that ShieldCheck™ or manual review classifies as fraudulent, non-compliant, duplicative, or otherwise invalid under Commercial Terms or Offer rules.

4.3 Offer and brand compliance

You must comply with all applicable local laws and with the specific terms of each Offer—including but not limited to brand-bidding restrictions, creative approvals, geographic limitations, and disclosure requirements. Breach may result in immediate suspension, forfeiture of unpaid balances where permitted, and indemnification obligations.

5. Advertiser obligations

5.1 Tracking integrity

Advertisers must maintain functional tracking pixels, server-to-server postbacks, mobile measurement partner (MMP) integrations, or other agreed attribution paths. Material changes to the tracking environment, attribution windows, event schemas, or consent flows must be communicated to H2CPA at least forty-eight (48) hours in advance unless a shorter window is agreed in writing. H2CPA is not liable for reporting gaps caused by Advertiser-side misconfiguration or undisclosed changes.

5.2 Payment terms

Advertisers agree to fund prepaid balances or pay invoices according to the schedule agreed in Commercial Terms—commonly Net-7, Net-15, or Net-30 from invoice date or statement period end, as specified. Late payment may attract suspension of delivery, withholding of Affiliate payouts funded from Advertiser receipts, finance charges where permitted by law, and termination rights.

6. Tracking and system of record

H2CPA’s proprietary SmartLink™ tracking, routing, and reconciliation stack (including its logs, rules, and deduplication logic) constitutes the authoritative “system of record” for calculating impressions, clicks, leads, conversions, and payable events across the Network, except where Commercial Terms expressly designate an alternate primary source for a named integration.

If a discrepancy arises between SmartLink™ data and an Advertiser’s internal analytics or MMP, the parties will cooperate in good faith to investigate. Where the variance exceeds ten percent (10%) over an agreed reconciliation window, each party will provide reasonable evidence (including raw logs where available). Absent manifest error in SmartLink™, H2CPA’s system of record prevails for billing and Affiliate payouts unless the parties execute a written variance resolution.

7. Payments and commissions

7.1 Affiliate minimum payout

Unless a lower threshold is specified in Commercial Terms for your account, the minimum payout threshold for Affiliates is USD 100 in accrued, cleared commissions. H2CPA may hold payouts until the threshold is met or until fraud / compliance reviews conclude.

7.2 Payout cycles

Payout cadence (e.g. weekly, bi-weekly, monthly), payment methods, and supported currencies are as set out in the dashboard, Commercial Terms, or publisher agreement. H2CPA may offset amounts owed against chargebacks, refunds, or proven invalid Traffic.

7.3 Banking and transaction fees

H2CPA remits the net commission amounts agreed after valid deductions. Beneficiary banks, intermediaries, or payment rails may impose fees on the recipient; such fees are borne by the Affiliate unless Commercial Terms state otherwise.

8. Intellectual property

H2CPA and its licensors own the Network, trademarks (including ShieldCheck™ and SmartLink™), software, documentation, and branding. Subject to these Terms and applicable Offer rules, H2CPA grants Affiliates a limited, non-exclusive, non-transferable, revocable licence to use marketing assets supplied through the dashboard solely to promote approved Offers. You may not reverse engineer the Network, scrape non-public data, or remove proprietary notices.

9. Disclaimer and limitation of liability

H2CPA provides the Network and related services on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, H2CPA disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, accuracy of third-party data, and non-infringement.

To the fullest extent permitted by law, H2CPA shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data, arising from the use of the Network, ShieldCheck™ or SmartLink™ scoring decisions, or the failure or performance of any campaign—even if advised of the possibility of such damages.

Subject to the foregoing, H2CPA’s aggregate liability arising out of or related to these Terms in any twelve-month period is limited to the greater of (a) the fees actually paid by you to H2CPA for the Network during that period, or (b) HKD 5,000, except where limitation is prohibited by law (including liability for death or personal injury caused by negligence, fraud, or wilful default, to the extent such exclusions cannot apply).

10. Indemnity

You will defend, indemnify, and hold harmless H2CPA, its affiliates, and their officers and employees from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your Traffic, creatives, landing pages, breach of these Terms, or violation of applicable law or third-party rights.

11. Suspension and termination

We may suspend or terminate access to the Network or specific Offers for breach, credit risk, legal requirement, non-payment, or integrity concerns identified by ShieldCheck™ or manual review. You may cease use at any time. Provisions that by their nature should survive (including payment obligations, intellectual property, indemnity, limitation of liability, and governing law) survive termination.

12. Changes to these Terms

We may modify these Terms by posting an updated version on https://h2cpamedia.com and revising the “Last updated” date. Material changes may require additional notice where mandated by law. Continued use of the Network after the effective date constitutes acceptance of the revised Terms where permitted by law.

13. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Subject to any mandatory provisions that cannot be contracted away, the courts of Hong Kong shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Network.
